This Agreement sets out the terms governing the Client’s use of the cloud server or virtual private server (“VPS”)
supplied by Business Help. By signing, accepting a Service Order, paying for, accessing, or continuing to use the
service after receiving these terms, the Client confirms that it has read, understood, and agreed to be bound by this
Agreement.
- Parties and Contract Documents
1.1 This Agreement is entered into between Business Help (“Business Help”, “Company”, “we”, “us”, or “our”), and
the individual or organization identified in the Client Acknowledgment or applicable Service Order (“Client”, “you”,
or “your”).
1.2 The complete contract consists of this Agreement, the applicable Service Order, any published Privacy Notice,
any Data Processing Addendum signed by the parties, and any additional written terms expressly incorporated into
the Service Order.
1.3 If there is a conflict, the Service Order governs pricing, specifications, service period, and purchased options; this
Agreement governs acceptable use, responsibilities, suspension, and general legal terms; and any signed Data
Processing Addendum governs the processing of personal data.
1.4 The Client confirms that the person accepting this Agreement is at least 18 years old and, where acting for an
organization, has authority to bind that organization. - Definitions
2.1 “Authorized User” means the Client and any employee, contractor, or representative whom the Client has
permitted to use the service.
2.2 “Client Data” means information, files, applications, credentials, configurations, records, or other content
uploaded to, created on, transmitted through, or stored within the VPS by or for the Client.
2.3 “Service” means the VPS, control panel, browser-based remote desktop, related access credentials, and any
support or optional services stated in the Service Order.
2.4 “Service Order” means the order form, invoice, subscription confirmation, or other written schedule stating the
selected plan, fees, resource allocation, service period, backup option, support entitlement, and other
specifications.
2.5 “Upstream Provider” means the data center, cloud provider, connectivity provider, software licensor, or other
third party used by the Company to provide the Service. - Service Specifications and Provisioning
3.1 The CPU, RAM, storage, bandwidth, operating system, access method, user count, billing cycle, service
commencement date, and any optional services shall be stated in the applicable Service Order.
3.2 The Company may use an Upstream Provider and may migrate the Service between reasonably equivalent
infrastructure where necessary for security, performance, legal compliance, continuity, or operational reasons.
3.3 Unless expressly stated otherwise in the Service Order, the Service does not include application management,
software licensing, data-entry services, cybersecurity monitoring, malware removal, disaster recovery, regulatory
compliance consulting, or guaranteed technical support for third-party applications.
3.4 The Client shall promptly review the initial VPS configuration and report any provisioning error within [48 HOURS /
OTHER PERIOD] after credentials are delivered. - Supported Browser and Access Requirements
4.1 Google Chrome is the Company’s officially supported browser for the VPS control panel and browser-based
remote desktop interface. Other browsers may function but are not tested or supported by the Company.
4.2 The Company is not responsible for browser-specific display, clipboard, keyboard, audio, download, upload, or
connection problems caused by an unsupported or outdated browser, a browser extension, local firewall, device
setting, internet connection, or other client-side condition. This does not exclude responsibility for a failure of the
VPS Service itself.
4.3 The Client is responsible for keeping Chrome, its operating system, security software, and local device reasonably
up to date and for enabling any required cookies, JavaScript, pop-ups, clipboard permissions, or other browser
permissions communicated by the Company.
4.4 The Client must not attempt to bypass authentication, security controls, session restrictions, or technical
safeguards applied to the Service. - Accounts, Credentials, and Authorized Users
5.1 The Client shall protect all usernames, passwords, recovery codes, API keys, and other credentials and shall not
disclose them to unauthorized persons.
5.2 The Client shall use multi-factor authentication where available and shall promptly remove access for any
Authorized User who no longer requires it.
5.3 The Client is responsible for activity performed through its account or credentials except to the extent the Client
promptly reports a suspected compromise and the activity results from the Company’s failure to protect systems
or credentials under the Company’s control.
5.4 Account sharing, resale, sublicensing, or providing access to persons outside the Client’s organization is
prohibited unless expressly authorized in the Service Order.
5.5 The Company may reset credentials, restrict access, or require additional verification where reasonably
necessary to protect the Service, the Client, other customers, or third parties. - Resource Use and Fair-Use Requirements
6.1 The Service is subject to the CPU, RAM, storage, bandwidth, session, and other limits stated in the Service Order.
Resources may be shared with other customers where the selected plan is based on shared infrastructure.
6.2 For browser-based access, the Company recommends no more than four active browser tabs or application
windows at one time unless the Service Order states otherwise. This is an operational recommendation and not a
guaranteed performance threshold.
6.3 The Client must not run applications, scripts, processes, simultaneous sessions, or workloads that materially and
persistently exceed the purchased allocation, interfere with other customers, degrade the infrastructure, or create
an abnormal security or network risk.
6.4 Where reasonably practicable, the Company will notify the Client of non-critical resource overuse and allow a
reasonable opportunity to reduce usage or upgrade. The Company may immediately throttle or suspend a
workload that threatens system stability, security, or other customers.
6.5 Unless expressly authorized in writing, the Client shall not use the Service for cryptocurrency mining, public proxy
or VPN resale, high-volume automated scraping, mass account creation, public file distribution, game-server
hosting, or other unusually resource-intensive activity. - Client Software and Configuration Responsibilities
7.1 Unless the Service Order states that the VPS is fully managed, the Client is responsible for applications, browser
extensions, user-created settings, installed software, application updates, configuration, compatibility, licensing,
and security within the Client-controlled environment.
7.2 The Client shall use properly licensed software and shall not install software that is illegal, malicious,
unsupported, or incompatible with the Service.
7.3 The Company may remove or disable software that presents an immediate security, legal, licensing, or
infrastructure risk, and will provide notice where reasonably practicable. - Shared Security Responsibilities
8.1 The Company is responsible for reasonable security measures for systems and administrative credentials under
its control, including service provisioning, access controls, and infrastructure management within the scope of the
purchased Service.
8.2 The Client is responsible for securing its Authorized Users, applications, passwords, Client Data, browser
sessions, local devices, and any operating-system or application components that the Client controls.
8.3 The Client shall promptly notify the Company of suspected unauthorized access, malware, credential
compromise, unusual activity, or security incidents affecting the Service.
8.4 The Company may access the VPS where authorized by the Client for support, reasonably necessary to operate or
secure the Service, necessary to investigate suspected abuse, or required by law. Access shall be limited to what
is reasonably necessary for the relevant purpose.
8.5 Neither party can guarantee absolute security. Each party shall act reasonably to reduce foreseeable risks within
its area of control. - Data Protection and Confidential Information
9.1 Each party shall comply with applicable data-protection and privacy laws in relation to personal data processed
in connection with the Service.
9.2 The Client is responsible for determining whether it has a lawful basis and all required notices, consents,
authorizations, and safeguards before uploading or processing personal data through the Service.
9.3 The Client must not store or process the following without the Company’s prior written approval and any required
enhanced security or contractual arrangements: payment-card authentication data, online-banking credentials,
medical records, biometric data, government-issued identity documents, highly sensitive children’s data,
passwords or authentication secrets belonging to third parties, or other specially regulated or high-risk
information.
9.4 The Client shall not upload information that it has no right to possess, use, disclose, or process.
9.5 Where the Company processes personal data on behalf of the Client beyond incidental service administration,
the parties may be required to enter into a separate Data Processing Addendum.
9.6 The Company shall use reasonable administrative, technical, and organizational measures to protect Client Data
that it processes in providing the Service, subject to the limitations and shared responsibilities stated in this
Agreement.
9.7 The Client remains responsible for encrypting particularly sensitive Client Data, securely ending browser
sessions, removing temporary downloads, and preventing unauthorized access through its devices and Authorized
Users. - Backups and Recovery
10.1 Unless a managed backup service is expressly listed in the Service Order, the Client is solely responsible for
maintaining current, independent, and recoverable backups of Client Data, applications, and configurations
outside the VPS.
10.2 A backup stored only on the same VPS is not considered an independent backup. The Company recommends
keeping at least one backup with a separate reputable cloud-storage provider or on other secure media controlled
by the Client.
10.3 The Company does not guarantee that Client Data can be recovered after deletion, corruption, malware,
compromise, suspension, termination, infrastructure failure, or user error unless a specific managed backup
service has been purchased and the applicable backup specifications have been confirmed in writing.
10.4 For any purchased backup service, the Service Order must state the backup frequency, retention period, scope,
exclusions, restore process, and any restoration fees. Backup restoration remains subject to the integrity and
availability of the applicable backup copy.
10.5 Nothing in this section excludes liability that cannot lawfully be excluded or liability arising from the Company’s
fraud, wilful misconduct, or failure to provide a paid backup service in accordance with the written Service Order. - Prohibited Use
11.1 The Client shall not use, attempt to use, permit, assist, encourage, conceal, or facilitate the use of the Service
for any unlawful, fraudulent, abusive, harmful, infringing, or unauthorized activity, including:
- financial fraud, identity theft, phishing, impersonation, scams, deceptive schemes, money laundering, or
trafficking in stolen information; - sending unsolicited bulk communications, spam, abusive messages, or communications that violate applicable
marketing or communications laws; - distributing malware, ransomware, spyware, credential-stealing tools, botnets, malicious scripts, or other
harmful code; - unauthorized access, credential stuffing, brute-force activity, port scanning without permission, vulnerability
exploitation, denial-of-service activity, or attacks against any system, network, account, or person; - hosting, transmitting, or distributing content that is illegal, defamatory, threatening, exploitative, or that infringes
intellectual-property, privacy, confidentiality, or other legal rights; - hosting or distributing child sexual abuse material, terrorist content or support, unlawful extremist material,
human-trafficking content, or unlawful marketplace activity; - circumventing platform restrictions, geographical controls, sanctions, licensing restrictions, or identity
verification requirements for an unlawful or deceptive purpose; - using stolen credentials, payment information, identity documents, or unauthorized personal data;
- operating an open proxy, unauthorized VPN resale service, public relay, mass scraping operation, or similar
service without written approval; - any activity that violates the laws of Nigeria, the jurisdiction in which the relevant server is physically located,
applicable international law, or the acceptable-use rules of an Upstream Provider.
11.2 A violation or credible suspected violation may result in immediate restriction, suspension, preservation of
evidence, termination without refund, and referral to the Upstream Provider, affected third party, regulator, or law
enforcement authority where permitted or required by law.
